Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and CoderFile.io ("we", "us") governing your use of our website, editor, code execution sandbox, AI tools, APIs, and related services (the "Service"). By creating an account or using the Service you agree to these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

CoderFile.io provides an online code editor and collaboration platform that lets you:

  • Write, edit, and execute code in supported programming languages
  • Share code snippets publicly or privately
  • Collaborate in real time, conduct interviews, and review code
  • Use AI-assisted features for explanation, refactoring, and debugging

3. User Accounts

3.1 Registration

You must provide accurate, current information. You are responsible for keeping your credentials confidential.

3.2 Account Security

You are responsible for all activity under your account. Notify us at security@coderfile.io of any unauthorized access.

3.3 Age Requirement

You must be at least 13 (or 16 in the EEA/UK) to use the Service. Users under the age of majority in their jurisdiction must have parental consent.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any law, regulation, or third-party right
  • Upload, run, or distribute malware, viruses, exploits, or worms
  • Attempt to gain unauthorized access to our systems or other users' data
  • Harass, threaten, defame, or impersonate others
  • Send spam or unsolicited bulk content
  • Mine cryptocurrency or run resource-abusive workloads
  • Scrape or harvest data without permission
  • Bypass usage limits, rate limits, or paid feature restrictions
  • Generate content that sexually exploits minors, incites violence, or constitutes hate speech

We may suspend or terminate accounts that violate this Policy without notice.

5. Intellectual Property

5.1 Your Content

You retain all rights to code and content you create. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and create derivative works of your content solely as needed to operate, secure, and improve the Service.

5.2 Public Content

If you mark a snippet "Public", you also grant other users a license to view, fork, and reference your content within the Service. You can revoke this by deleting the snippet or making it private.

5.3 Our Platform

The Service, branding, and underlying software are owned by us and protected by copyright, trademark, and other laws. Nothing in these Terms transfers our IP to you.

6. AI Features Disclaimer

Our AI features use third-party large language models. AI output:

  • Is generated probabilistically and may be inaccurate, incomplete, biased, or unsafe
  • Must be reviewed by you before any production use
  • Should not be relied upon for legal, medical, financial, or safety-critical decisions
  • May reflect training data; we do not guarantee originality or non-infringement

You own the prompts you submit and, subject to applicable law, the outputs you receive. You are responsible for ensuring your use of AI output complies with applicable laws and the upstream provider's policies.

7. Code Execution Disclaimer

Code execution is provided through a third-party sandbox (Judge0) on a best-effort basis:

  • No service-level agreement is offered for free or paid execution
  • Execution may fail, time out, or be rate-limited if upstream APIs are degraded
  • You are responsible for the code you run; we are not liable for loss caused by your code
  • Do not run code that contains real secrets, personal data of third parties, or proprietary data you are not licensed to disclose

8. Beta and Experimental Features

Features labeled "beta", "preview", or "experimental" are provided as-is. They may change, break, or be removed without notice and are excluded from any availability commitments.

9. Subscriptions, Billing & Refunds

Plans & auto-renewal. Paid plans (Pro, Team) renew automatically each billing period (monthly or annual) at the then-current price until cancelled. Cancellation stops the next renewal; access continues through the end of the paid period.

Payment. Payments are processed by Stripe. You authorize us and Stripe to charge your selected payment method.

Refund policy — 7-day money-back guarantee. If you are unsatisfied with a paid plan, request a refund within 7 days of your initial purchase by emailing admin@coderfile.io. We will refund the most recent charge for that initial subscription. Renewals, partial periods, add-ons, and accounts terminated for AUP violations are non-refundable.

EEA/UK consumers additionally have a statutory 14-day cooling-off right that expires once digital content is supplied with your express consent.

Taxes. Listed prices exclude applicable sales taxes and VAT, which will be added at checkout where required.

Price changes. We may change prices. We will give existing subscribers at least 30 days' notice; changes take effect on the next renewal.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with reasonable notice
  • Suspend the Service temporarily for emergency repairs or security incidents
  • Modify, add, or discontinue features

11. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for indirect, incidental, special, consequential, or exemplary damages, lost profits, lost data, or business interruption.
  • Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) USD $100 or (b) the amount you paid us in the 12 months before the event giving rise to the claim.
  • We are not responsible for third-party content, services, or links.

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless CoderFile.io, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms.

13. DMCA & Copyright

We respect intellectual property rights and respond to valid notices under the U.S. Digital Millennium Copyright Act (DMCA).

To submit a takedown notice, see our DMCA Policy or email our designated agent at admin@coderfile.io with the information required by 17 U.S.C. § 512(c)(3). Repeat infringers will have their accounts terminated.

14. Termination

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is inactive for 24 consecutive months
  • Required by law, court order, or to protect users or the Service

You may delete your account at any time from account settings. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) will survive termination.

15. Export Controls & Sanctions

You may not use the Service if you are located in, ordinarily resident in, or a national of any country or region subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you are listed on any U.S. government denied-party list. You also agree not to use the Service in violation of U.S. export control laws.

16. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there. Where mandatory consumer-protection laws of your residence apply, nothing in this Section limits the rights you have under those laws.

Before filing a claim, the parties agree to attempt good-faith resolution by emailing admin@coderfile.io. If unresolved within 30 days, either party may pursue formal proceedings.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days in advance. Continued use after the effective date constitutes acceptance.

18. Advertising

The free tier is supported by advertising, including Google AdSense. Ads may use cookies and similar technologies — see our Cookie Policy and Advertising Disclosure. We are not responsible for the content of third-party ads. Pro and Team plans include an ad-free experience.

19. General

Entire agreement. These Terms, the Privacy Policy, and any in-product notices form the entire agreement between you and us regarding the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Notices. We may give notices by email to your account email or by posting in the Service. You may give us notices at admin@coderfile.io.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
